Last updated: 1 July 2025 · The Glow Squad Pty Ltd · ABN 90 703 624 042 · Melbourne VIC

These Terms of Service (Terms) form the agreement between you and The Glow Squad Pty Ltd (ABN 90 703 624 042) of Melbourne VIC, referred to in these Terms as we, us or our. They apply to the professional business and consulting services we supply and to your use of our website at https://theglowsquad.online. By requesting a quote, engaging our services or using this website, you accept these Terms. If you do not accept these Terms, please do not use this website or engage our services.

1. About us and our services

The Glow Squad Pty Ltd is an Australian proprietary company registered in Victoria. We provide professional business and consulting services, which may include business advisory, strategy development, operational reviews, process improvement and related consulting support. The exact scope of services for each engagement is set out in the written quote or proposal we provide to you.

Information about our services on this website is general in nature. Unless we expressly agree otherwise in writing, our services do not constitute financial, legal, taxation or accounting advice, and you should obtain specialist advice where appropriate for your circumstances.

2. Quotes and commencement of engagements

All quotes are provided in writing and are valid for 30 days from the date of issue unless the quote states otherwise. An engagement commences only when we receive your written acceptance of a quote or a signed engagement letter. Any variation to the agreed scope must be agreed in writing and may affect the fees and timelines set out in the original quote.

3. Fees, GST and payment

Fees are stated in Australian dollars. Amounts are exclusive of GST unless stated otherwise, and GST will be added where required under A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Unless a quote states otherwise, invoices are payable within 14 days of the invoice date by bank transfer or another payment method we accept. We may charge simple interest on overdue amounts at 10% per annum, calculated daily, and may suspend services where an invoice remains overdue after written notice. You remain liable for all amounts properly incurred up to the date of any suspension.

4. Your responsibilities

You agree to provide accurate, complete and timely information and to give us reasonable access to the personnel, premises and records we need in order to perform the services. We rely on the accuracy of the information you supply, and the outcomes of an engagement may be affected where information provided to us is incomplete or inaccurate.

5. Consumer guarantees under Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any rights or remedies you have under the Australian Consumer Law or other Australian laws that cannot lawfully be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that services will be rendered with due care and skill and will be reasonably fit for the purpose you communicated to us.

Where the Australian Consumer Law permits, our liability for a failure to comply with a consumer guarantee is limited, at our option, to re-supplying the services or paying the cost of having the services re-supplied.

6. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential loss, loss of profit, loss of revenue, loss of business opportunity or loss of data arising out of or in connection with the services. Our total aggregate liability arising out of or relating to any engagement is limited to the fees actually paid by you for the relevant services, except where such liability cannot be excluded or limited by law. This clause applies only to the extent permitted by the Australian Consumer Law and other applicable legislation.

7. Confidentiality

Each party must keep confidential all non-public information disclosed by the other party in connection with an engagement and use that information only for the purposes of the engagement, unless disclosure is required by law or the information enters the public domain other than through a breach of these Terms. This obligation survives the termination of any engagement.

8. Intellectual property

We retain ownership of our pre-existing materials, frameworks, templates and methodologies. On full payment of our fees, you receive a licence to use the deliverables prepared specifically for you for your internal business purposes.

All content, branding and materials published on this website remain the property of The Glow Squad Pty Ltd and must not be reproduced, adapted or distributed without our prior written consent.

9. Use of this website

10. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). You can contact us at ceo@theglowsquad.online about privacy matters.

11. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy that breach within 14 days of receiving written notice of it. On termination, you must pay for services performed and expenses properly incurred up to the termination date. Clauses that are intended to survive termination, including confidentiality, liability and governing law, continue to apply.

12. Force majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, power or network outages, industrial action, epidemic-related restrictions or changes in applicable law.

13. Dispute resolution

If a dispute arises, both parties should first raise the matter in writing and work in good faith to resolve it. If the dispute is not resolved within 30 days, the parties may agree to submit the matter to mediation before commencing court proceedings. Nothing in this clause prevents either party from seeking urgent injunctive relief.

14. Governing law

These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.

15. Changes to these Terms

We may update these Terms from time to time by publishing a revised version on this page. The version published on this website at the time of your engagement or website use is the version that applies to you.
